Breaking NEWS: IRS Playbook Reveals Secrets to Business Success

In a surprising revelation, the Internal Revenue Service (IRS) has been quietly providing a playbook for years, guiding individuals on the path to success in their business endeavors. However, many individuals with Limited Liability Companies (LLCs) seem to have missed the signals embedded in the IRS guidelines.

The IRS has consistently offered tax preparation deadlines, yet the intricate narrative surrounding tax season has overshadowed the vital journey to success. As we approach the upcoming tax season, it becomes apparent that understanding the IRS playcalling is crucial for structuring businesses effectively.

The tax filing deadlines, both for filing and extensions, vary for different business structures, and decoding this information can be a game-changer. Here are the key deadlines for various business entities:

Small Business

Filing Deadline

Extension Deadline

Sole Proprietors

April 15, 2024

Oct. 15, 2024

Partnerships

March 15, 2024

Sept. 16, 2024

Multimember LLCs

March 15, 2024

Sept. 16, 2024

S-Corps

March 15, 2024

Sept. 16, 2024

C-Corps

April 15, 2024

Oct. 15, 2024

Remarkably, both Sole Proprietors and C-Corps share the same tax filing deadline of April 15th. The reason behind this alignment becomes clear when considering the IRS definition of a "United States person."

According to the IRS, a "United States person" includes a citizen or resident of the United States (Sole Proprietor) and a domestic corporation (C-Corp). Treating corporations as United States persons ensures they follow the same tax deadlines as individual taxpayers.

Here's a breakdown of the deadlines and the rationale behind them:

Sole Proprietors:

  • Report business income on personal tax returns (Form 1040).

  • Filing deadline aligns with the individual tax filing deadline of April 15th.

Partnerships:

  • Pass-through entities where income flows through to individual partners.

  • Filing deadline is March 15th, providing partners with information before the individual tax filing deadline.

Multimember LLCs:

  • Taxed as partnerships for federal income tax purposes.

  • Filing deadline aligns with partnerships, filing Form 1065 by March 15th.

S-Corps:

  • Pass-through entities where income flows through to individual shareholders.

  • Filing deadline is March 15th, aligning with the partnership deadline.

C-Corps:

  • Separate legal entities paying corporate income tax.

  • Filing deadline is April 15th, aligning with the individual tax filing deadline.

The misalignment in deadlines serves a purpose – it allows information from pass-through entities to be available to individual taxpayers before filing their personal tax returns. This strategic sequencing ensures a smoother flow of information and helps individuals meet their tax obligations accurately and on time.

One critical aspect that many LLC owners overlook is the impact of placing business income losses and deductions on a Schedule C, part of the IRS 1040, the U.S. Individual Tax Return.

This inadvertently ties the business owner's personal responsibility to the business's financial outcomes. Accepting full responsibility for the business's income, losses, and deductions on the Schedule C can lead to personal guarantees when dealing with financial institutions.

If filing your taxes deadline is the same for both c-corp and sole proprietorship, then how does that separate you from your business if the definitions state that the IRS considers you a United States Person? Does filing taxes on the same date as you would your individual taxes mean that you file them together or separate?
